Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and RentMyHeader Inc. ("RentMyHeader," "we," "us," or "our") governing your access to and use of the RentMyHeader platform, website, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Description of Services

RentMyHeader is a marketplace platform that connects content creators ("Creators") with brands and organizations ("Organizations") for advertising placements, including but not limited to social media header banners, bio links, bio mentions, sponsored posts, and sponsored replies.

RentMyHeader acts solely as an intermediary platform facilitating transactions between Creators and Organizations. We do not create, endorse, verify, or control the advertising content displayed through our platform.

2. Eligibility

You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To use certain features of our Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe are being used for fraudulent or illegal purposes.

4. Creator Obligations

If you use our Services as a Creator, you agree to:

  • Provide accurate information about your social media presence and analytics
  • Respond to booking requests within forty-eight (48) hours
  • Fulfill accepted bookings according to the agreed-upon terms and timeline
  • Display advertising content as specified in accepted booking requirements
  • Maintain appropriate conduct when representing brands
  • Comply with all applicable advertising laws and platform terms of service (see Section 8)

5. Organization Obligations

If you use our Services as an Organization, you agree to:

  • Provide accurate information about your organization
  • Submit clear requirements and assets for advertising placements
  • Pay for accepted bookings in accordance with the payment terms
  • Ensure all advertising content complies with applicable laws and regulations (see Section 8)
  • Obtain all necessary rights and permissions for advertising materials you provide
  • Not request content that is illegal, deceptive, or violates third-party rights

6. Payment Terms

6.1 Payment Processing

All payments are processed through Stripe, Inc. By making a payment, you agree to Stripe's terms of service. Organizations pay the full booking amount at the time of checkout. Funds are held until the Creator fulfills the booking requirements.

6.2 Creator Payouts

Creators receive payouts after successful completion and verification of deliverables. Payouts are processed through Stripe Connect. Creators are responsible for providing accurate banking information and complying with Stripe's requirements for payouts.

6.3 Platform Fees

RentMyHeader charges a platform fee on transactions processed through our Services. Current fee structures are displayed during the booking process. We reserve the right to modify our fee structure with reasonable notice.

6.4 Refunds

Refunds may be issued in the following circumstances:

  • The Creator declines or fails to respond to a booking request within 48 hours
  • The Creator fails to fulfill the booking as agreed
  • The booking is cancelled by mutual agreement before work begins
  • Other circumstances at RentMyHeader's sole discretion

Refund requests are subject to review. RentMyHeader reserves the right to make final determinations on refund eligibility.

6.5 Taxes

You are solely responsible for determining and paying any taxes applicable to your use of the Services, including income taxes, sales taxes, and VAT. Creators receiving payouts are responsible for their own tax reporting obligations. RentMyHeader may provide tax forms (such as 1099-K) as required by law.

7. Intellectual Property

7.1 Platform Content

The RentMyHeader platform, including its design, logos, text, graphics, and software, is owned by RentMyHeader and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7.2 User Content

You retain ownership of content you submit to the platform. By submitting content, you grant RentMyHeader a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content solely for the purpose of operating and promoting the Services.

7.3 Advertising Content

Organizations retain ownership of advertising materials they provide. Organizations grant Creators a limited license to display advertising content for the duration of the booking. Creators do not acquire any ownership rights in advertising materials.

8. Advertising Compliance and Disclaimers

THIS SECTION CONTAINS IMPORTANT LIMITATIONS ON RENTMYHEADER'S LIABILITY. PLEASE READ CAREFULLY.

8.1 User Responsibility for Compliance

Creators and Organizations are solely responsible for ensuring that all advertising content displayed through our platform complies with all applicable laws, regulations, and platform terms of service. This includes, but is not limited to:

  • FTC Guidelines: Proper disclosure of sponsored content and material connections
  • Platform Terms: Twitter/X terms of service, advertising policies, and community guidelines
  • Advertising Standards: Truth in advertising, substantiation of claims, and prohibition of deceptive practices
  • Industry Regulations: FDA regulations for health claims, SEC regulations for financial products, FCC regulations for telecommunications, and other industry-specific requirements
  • International Laws: GDPR, CAN-SPAM, CASL, and other applicable international regulations
  • Intellectual Property: Trademark, copyright, and publicity rights of third parties

8.2 No Review or Approval of Content

RentMyHeader does not review, approve, endorse, or verify advertising content for legal compliance. We do not screen advertisements for accuracy, legality, or compliance with any laws or regulations. The appearance of advertising content on our platform does not constitute endorsement or approval by RentMyHeader.

8.3 Disclaimer of Liability for Advertising Content

RENTMYHEADER EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY ARISING FROM OR RELATED TO THE ADVERTISING CONTENT DISPLAYED THROUGH OUR PLATFORM. This includes, without limitation:

  • Claims of false or misleading advertising
  • Failure to include required disclosures (e.g., #ad, #sponsored)
  • Violations of FTC endorsement guidelines
  • Infringement of third-party intellectual property rights
  • Violations of platform terms of service resulting in account suspension or termination
  • Regulatory fines or penalties imposed on users
  • Claims by consumers or third parties related to advertised products or services
  • Any damages arising from the content, accuracy, or legality of advertisements

8.4 Indemnification for Advertising Violations

You agree to indemnify, defend, and hold harmless RentMyHeader, its officers, directors, employees, agents, and affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your advertising content or campaigns
  • Your violation of any advertising laws or regulations
  • Your violation of platform terms of service
  • Claims by third parties related to your advertising activities
  • Regulatory investigations or enforcement actions related to your content

8.5 Right to Remove Content

While we do not have an obligation to monitor or review advertising content, we reserve the right to remove any content and terminate any account that we believe, in our sole discretion, violates these Terms, applicable laws, or may expose RentMyHeader to liability.

9. Prohibited Conduct

You agree not to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Post or promote content that is fraudulent, deceptive, or misleading
  • Infringe on the intellectual property rights of others
  • Harass, abuse, or harm other users
  • Attempt to circumvent platform fees or payment systems
  • Use automated systems to access the Services without permission
  • Interfere with or disrupt the Services or servers
  • Impersonate any person or entity
  • Collect or store personal data of other users without consent
  • Promote illegal products, services, or activities
  • Post content that is obscene, hateful, or promotes violence

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by law, RentMyHeader disclaims all warranties, including but not limited to:

  • Merchantability and fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or completeness of content
  • Uninterrupted, error-free, or secure operation
  • Results obtained from using the Services

We do not guarantee that any booking will be accepted, that Creators will fulfill their obligations, or that Organizations will pay as agreed. We are not responsible for the actions or omissions of any user.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RENTMYHEADER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to:

  • Loss of profits, revenue, or business opportunities
  • Loss of data or goodwill
  • Cost of substitute services
  • Damages arising from advertising compliance issues
  • Platform suspensions or account terminations by third-party services

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO RENTMYHEADER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

12. Dispute Resolution

12.1 Informal Resolution

Before filing any formal legal action, you agree to contact us at legal@rentmyheader.com and attempt to resolve the dispute informally for at least thirty (30) days.

12.2 Arbitration

Any dispute arising from these Terms or your use of the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Delaware, and the arbitrator's decision shall be final and binding.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action not subject to arbitration shall be brought in the state or federal courts located in Delaware.

14. Termination

We may suspend or terminate your account and access to the Services at any time, with or without cause, with or without notice. Upon termination:

  • Your right to use the Services immediately ceases
  • Outstanding payment obligations remain due
  • Provisions that by their nature should survive termination will survive

You may terminate your account at any time by contacting us. Termination does not relieve you of any obligations incurred prior to termination.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after any changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RentMyHeader regarding your use of the Services and supersede all prior agreements and understandings.

18. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by RentMyHeader.

19. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
